- End User License Agreement -

The following is a legal agreement between you (“the Licensee”) and United Images (UNIMA) Corporation Ltd (“the Licensor”). Read this agreement carefully before purchasing, downloading and using any of the purchased images. By purchasing and downloading any image from United Images (UNIMA) Corporation Ltd website, you are asserting your declaration that you have read, understood, and agreed to all terms and conditions listed in this Agreement, and otherwise identified on United Images (UNIMA) Corporation Ltd website. If you are entering into this agreement on behalf of your employer, the license granted and restrictions and limitations recited herein apply to your employer as well as to you as a representative of your employer. Should you cease working for your employer, your employer may continue to operate under this agreement.

All Rights Managed (RM) or Rights Protected (RP) photographic images available from United Images (UNIMA) Corporation Ltd are proprietary, copyrighted by United Images (UNIMA) Corporation Ltd and protected by the British Law, international treaty provisions and other applicable laws. All rights not expressly granted are reserved. Your right to use any of these images is conditioned upon your payment of any applicable fee prior to use and your compliance with the terms of this Agreement.

When you purchase any of United Images (UNIMA) Rights Managed (RM) or Rights Protected (RP) photographic images, United Images (UNIMA) Corporation Ltd grants you a non-exclusive (unless other provisions are made), non-transferable limited license to download, use, modify, publish and display image(s) in your personal and/or professional creative work which may include production of:

A. "Printed Materials", where licensed images are used as illustrations accompanied by the copyright notice. Printed materials include brochures, reports, newsletters, newspapers, magazines, books and any other printed publications where images may be used in editorial and/or advertising context and must contain the copyright notice reading: ”© United Images (UNIMA) Corporation” or ”© unima.co.uk” or ”© United Images”;

B. "Online and Broadcast Media", limited exclusively to World Wide Web site display in editorial and/or advertising (commercial) context, any other online display and broadcast video; provided however that only low-resolution versions of images may be displayed on any World Wide Web site or online and that they shall be accompanied by the copyright notice reading: ”© United Images (UNIMA) Corporation” or ”© unima.co.uk” or ”© United Images”; or

C. "Offline Digital Media" in or as part of computer, audiovisual and multimedia use, software, multimedia programs, interactive presentations and CD ROM products, provided however that only low and medium-resolution versions of images may be displayed in Offline Digital Media, that they shall be accompanied by the copyright notice reading: ”© United Images (UNIMA) Corporation” or ”© unima.co.uk” or ”© United Images”.

All images licensed hereunder are licensed upon the express understanding, to which you agree by purchasing and downloading any high resolution copies of the aforementioned images, that each Rights Managed (RM) or Rights Protected (RP) image is licensed for a single use only which has been specified by you at the time of the purchase, any additional use of the purchased image, including but not limited to its original version and/or any edited versions of it, shall require an additional License which must be obtained from United Images (UNIMA) Corporation Ltd. Each Rights Managed (RM) or Rights Protected (RP) image for which you purchase a License from United Images (UNIMA) Corporation, must be used as intended in a single commercial or private project within twelve months from the date when image was downloaded and License was granted; any further use of licensed image may require additional written permission from United Images (UNIMA) Corporation. It is understood that this License does not include any underlying rights nor the privacy or publicity rights of the individuals, trademarks, logos and/or properties appearing in the images (unless appropriate releases are presented to you at the time of the purchase). Any release for any individuals, trademarks, logos or properties appearing in the images or permission from their respective unions, guilds, or authorized representatives, if required, must be obtained by the Licensee (unless any such releases are already obtained by United Images in which case they shall be presented to you at the time of the purchase).

The following uses of the images are expressly not permitted:

1. You may not make (or allow anyone else to make) any form of copy, whether printed, photographic, digital and/or other modality of any of the images, except in the use of the image or images in your personal or professional work as specified above.

2. You may not loan, rent, transfer or grant any rights to UNIMA images, or any compilation, derivative or collective work containing UNIMA images to any other person or organization without the prior written consent of United Images (UNIMA) Corporation Ltd.

3. You may not use any of United Images (UNIMA) images downloaded or obtained from our site in a Website template or any template or design sold individually or as part of an archive or catalog collection, or an automated shopping system, under any circumstances. You MAY however use our photos in client websites that are NOT distributed through an archive or automatic system.

4. You are expressly forbidden from posting any image or images on any electronic bulletin board or making them available online in a downloadable format; using each licensed image more than once and/or for a different purpose than the one for which the License has been issued; using images in any obscene or indecent way and/or purposefully damaging the reputation of any third parties and/or United Images (UNIMA) Corporation Ltd.

5. You may not use or permit the use of the image(s), or any part thereof, as a trademark or service mark, or claim any proprietary rights of any sort in the image(s) or any part thereof.

6. You may not use, or allow anyone else to use any of these images in connection with any illegal, obscene, immoral, pornographic, libelous or defamatory material.

You understand and agree that United Images (UNIMA) Corporation may, in its sole discretion:

1.       Monitor your download activity from United Images (UNIMA) Corporation as often as United Images (UNIMA) Corporation determines under its sole discretion for any reason and for any violation of this Agreement.

2.       Investigate any abuse of your username and password in connection with the United Images (UNIMA) Corporation website or in connection with this Agreement.

3.       Take the appropriate action to investigate all potential abuse, which can lead to contacting the individual involved with the violations or other actions deemed necessary depending on the nature and severity of the violations, if we are unable to confirm the validity of the activity.

You understand that United Images (UNIMA) images are copyrighted and owned and/or represented by United Images (UNIMA) Corporation, and any unauthorized use of any of these images by you may be an infringement upon said copyright.

Limitation of Damages

All United Images (UNIMA) images are made available to you “AS IS,” “AS AVAILABLE,” and “WITH ALL FAULTS”. Neither United Images (UNIMA) Corporation Ltd, nor any of its officers, agents, employees, representatives, associates or its licensors shall be liable for any damages, whether direct, indirect, consequential, or incidental, including but not limited to loss of revenue or profits, arising out of the use of, or inability to use of any image or images on this website. Furthermore, United Images (UNIMA) Corporation its employees, directors, and officers and anyone else associated with United Images (UNIMA) Corporation make no representation or warranty, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, or non-infringement.

Age of Majority.

You warrant and attest that you are of the age of majority. You further agree that you fully understand the contents, meaning and impact of this agreement.  You will not use these United Images (UNIMA) images in any way that is not permitted in this Agreement or in violation of this Agreement.  Your use of these United Images (UNIMA) images will not violate any applicable law or regulation of any country, state, or other governmental entity.  You further attest that the information you provide to United Images (UNIMA) Corporation is accurate and true, including without limitation all credit card information.

You agree to fully indemnify and hold harmless United Images (UNIMA) Corporation, its employees, directors, officers, and any other entity associated with United Images (UNIMA) Corporation, and each  of its successors, licensees and assigns free and harmless from any and all claims, liabilities, costs, losses, damages, expenses, including attorneys’ fees and expenses, arising in connection with your use of the United Images (UNIMA) images and this website or of any breach or alleged breach of any representation, warranty, or other promise made by you in this Agreement.

Governing Law and General Provisions

This License is the entire agreement between the parties and supersedes any other agreement or discussions, oral or written and may not be changed except by a written signed agreement. This License shall be governed and construed in accordance with the British Law. If any provision of this License is declared by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provisions shall be severed from the License to the minimal degree necessary and the other provisions shall remain in full force and effect. The prevailing party in any enforcement action shall be entitled to an award of its reasonable attorneys' fees.

You agree, attest, and reaffirm your agreement to the terms listed herein and to conduct your transaction electronically.
